The following Terms and Conditions govern your participation in RevZilla’s ZillaCash rewards program (“ZillaCash” or the “Program”). ZillaCash is a customer loyalty program for RevZilla customers that rewards you for purchases made at RevZilla online. RevZilla is part of the Comoto Holdings, LLC  (“Comoto”) group of companies. All references to RevZilla, “we” or “us” in these Terms and Conditions include Comoto, and vice versa.

You are responsible for reading these Terms and Conditions prior to enrolling in ZillaCash in order to understand your rights, responsibilities, and status in the Program. JOINING ZILLACASH
You can join ZillaCash online or by calling customer service. Your participation requires you to provide us with an email address and other information as needed to complete product purchases. Personal information that you provide to us is subject to our Privacy Policy.

There is no cost to participate in ZillaCash beyond the price of your qualifying purchases.


EARNING ZILLACASH
Earn $5 of ZillaCash for every $100 spent per order of qualifying products, for up to $600 per order online. Examples are shown in the table below for the tiers.

For online purchases, you must be logged into your account at the time of checkout in order to earn ZillaCash. ZillaCash will be added to your account at the time your order ships.

Limitations and Exclusions on Earning ZillaCash
The following types of purchases are not eligible for earning ZillaCash:

• Gift Certificates
• Subscriptions to Comoto’s RPM Rewards Program
• Excluded Products and Services

The above limitations and exclusions and the list of excluded products and services is subject to change at any time, without prior notice. ZillaCash cannot be purchased.

The Value of ZillaCash
ZillaCash is worth its face value equivalent to the U.S. dollar in store credit at RevZilla. ZillaCash is not legal tender, and has no value beyond RevZilla.

ZillaCash & Comoto’s Riders Preferred Membership (“RPM”) Rewards Program
In addition to ZillaCash, Comoto offers a subscription-based loyalty and rewards program called Riders Preferred Membership (“RPM”) that provides benefits at RevZilla, J&P Cycles, and CycleGear, including 5% cash back on all qualifying purchases with all three retailers. If you decide to join RPM and you currently have ZillaCash in your account, all of your ZillaCash will be automatically converted to RPM Cash of an equal value, and your ZillaCash account will be closed. During the term of your RPM membership, you will be able to earn RPM Cash on qualifying purchases at RevZilla, but will no longer earn ZillaCash.

REDEEMING ZILLACASH
ZillaCash can be redeemed at checkout, both in-store and online at RevZilla. For online purchases, you must log into your account before finalizing your payment method in order to apply your ZillaCash to a purchase. For in-store purchases, simply provide the email address associated with your account to the cashier who can look up your account and apply your ZillaCash.
ZillaCash may be used to pay for all or part of your order in addition to credit cards, debit cards, cash, gift certificates, or any other accepted payment method. ZillaCash used as payment will be deducted from your account immediately upon purchase.

Limitations and Exclusions on Redeeming ZillaCash
Certain products and services may not be purchased using ZillaCash. For example, ZillaCash cannot be used to purchase gift certificates. For the current list of excluded products and services, please click here. This list is subject to change at any time, without prior notice. ZillaCash generally may not be redeemed for cash unless required under the laws of certain states and when applicable statutory requirements are met.

ZillaCash expires one (1) year from the date it was issued, except as otherwise required.

Combining ZillaCash with Other Promotions, Discounts & Sales
ZillaCash can be redeemed along with other rewards, promotions and discounts, subject to exclusions on certain items which may be announced from time to time. Your ZillaCash balance will be applied after any other discounts are applied to your purchase.

RETURNS & CANCELLED ORDERS
Purchases on Which You Earned ZillaCash

• Returned items do not count toward earning ZillaCash, and any ZillaCash awarded on a subsequently returned purchase will be deducted from your account. As a result, it is possible your ZillaCash account could have a negative balance if you use your ZillaCash before the merchandise is returned. Your ZillaCash account balance will remain negative until such time as you have made qualifying purchases that earn ZillaCash sufficient to bring your account positive. It is also possible that a return could result in you dropping to a lower earning tier until such time as you make additional qualifying purchases from RevZilla.

Purchases Made With ZillaCash

• If you return merchandise that was purchased entirely or partially with ZillaCash, we will transfer the ZillaCash used back to your account once the return is processed. For more information on returns, please review our Return Policy.

Cancelled Orders
If ZillaCash is awarded for a purchase and the item is cancelled from your order prior to shipping, you will not be charged and you will not receive ZillaCash for that item.

ELIGIBILITY
Participation in the Program is available to any individual who is at least sixteen (16) years old, and is not an employee of Comoto, RevZilla, J&P Cycles, Cycle Gear, or REVER. Corporations, groups, and associations are not eligible to participate in the Program.

TERM & CANCELLATION
Your participation in ZillaCash is effective on the date of your enrollment, and continues until terminated by you or us.
We may cancel your ZillaCash participation, without notice, for any reason, at any time, at our sole discretion, including, without limitation, our belief that your continued use of  ZillaCash or Program participation would violate these Terms and Conditions, applicable law, or otherwise be harmful to our interests. In the event we terminate your enrollment for any of these reasons, you will not be entitled to a refund (full or partial) of any purchase or fee, you will forfeit your ZillaCash, and will no longer be eligible for any of the benefits of the Program. Individuals whose ZillaCash accounts have been terminated, are not allowed to re-enroll in ZillaCash, RPM, or any other Comoto loyalty program whether under the same or a different username.

PROGRAM CHANGES
We may alter, limit, modify or terminate the Program, the Program structure, any feature of the Program, or these Terms and Conditions in our sole and absolute discretion at any time upon thirty (30) days’ notice, even though such changes may affect the value of your ZillaCash, or the ability to obtain further rewards and benefits. Notice will be provided by posting an updated version of these Terms and Conditions on our website. Your continued participation in the Program will confirm your acceptance of such changes.
Notwithstanding the foregoing, we reserve the right to modify our list of Excluded Products and Services at any time without advanced notice.

TAXES
Program participants are responsible for any tax liability related to their participation in the Program. By enrolling in the Program, you also acknowledge that if your RPM Cash goes unused for a sufficient amount of time, it may become unclaimed property and be escheated in accordance with applicable state law.

PROGRAM COMMUNICATIONS
We generally communicate with ZillaCash participants by email. By participating in the Program, you understand and agree that you are opting-into receiving RevZilla email communications, which may include those regarding Program benefits, special offers and your ZillaCash and that you will remain opted-into RevZilla email communications until such time as your opt-out, even if your participation in ZillaCash is terminated or you stop earning ZillaCash rewards. You may opt-out of RevZilla marketing emails at any time by clicking the link found at the bottom of each email RevZilla sends to you. Consenting to RevZilla Program or marketing communications is not required to participate in ZillaCash. In the event that you opt into and later opt out of receiving marketing communications, we may continue to send you non-marketing or non-promotional communications by email, such as those about your account, orders, or Program benefits.

Please make sure to keep your account contact information (including your email address) up to date; We are not responsible for communications, offers, or rewards sent based on out-of-date information.
ZillaCash participants may also have the opportunity to receive communications via text message/SMS. In order to receive text messages, you will need to expressly opt-in. To stop receiving our text messages, just send us a text from your mobile phone with the word STOP, STOP ALL, END, QUIT, CANCEL or UNSUBSCRIBE. If you unsubscribe from text messages, we will stop all text communications with you.

Privacy
The personal information that you provide in connection with the Program is subject to our Privacy Policy. By participating in the Program, you agree to the terms of our Privacy Policy, which are incorporated by reference. For more information about how we keep personal information private and secure, please review our Privacy Policy.
Additionally, you expressly agree as a ZillaCash participant to the sharing of your personal information between and among the Comoto brands (including RevZilla Cycle Gear, J&P Cycles, and REVER).
For residents of states that provide rights for the deletion of personal information and who participate in ZillaCash, if you submit a verifiable request to delete your personal information, that request will not result in the deletion of your personal information that is required to continue to provide you with Program benefits. We will honor your verifiable deletion request to the extent that we maintain personal information of yours that is not needed to process services you request.  Please contact us at cs@revzilla.com or (877) 792-9455 with any questions.

ACCOUNT SECURITY
We have implemented commercially reasonable physical, technical, and administrative safeguards to help prevent unauthorized access to, use of, and disclosure of, your personal information, including your ZillaCash account information. However, there is no perfect security, and we cannot guarantee the security of this information. You are responsible for maintaining the secrecy of any credentials used to access your RevZilla account and you should report suspected unauthorized activity to us immediately. We are not responsible for, and assume no liability for, any purchases or the use of Program benefits made using your account credentials.
We specifically reserve the right to terminate your ZillaCash enrollment and any contract you have with Comoto in the event we learn or suspect you have disclosed your account or password information to an unauthorized third party.

Sweepstakes, Contests, Promotions, and Surveys
From time to time, ZillaCash participants may have the opportunity to participate in contests, sweepstakes, raffles, surveys, games or other similar promotions. Each contest or promotion may have additional rules that apply in addition to these Terms and Conditions. Please review the applicable rules as well as our Privacy Policy prior to participating. If the promotion rules conflict with these Terms and conditions, the promotion rules will govern for purposes of that promotion only.

Intellectual Property
Comoto owns all rights, title and interest in the Program, the name ZillaCash, and Comoto’s websites, as well as all text, content, graphics, interfaces, code and materials, the look and feel, selection and arrangement, design and organization of the Program and our websites, and the compilation of the content, code, data and materials on or associated with the Program and websites, including all intellectual property and proprietary rights. The content of the Program and our websites is protected under United States and other copyright laws, and is the property of Comoto. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works or in any way exploit any of the content of the Program or our websites, in whole or in part. No copying, redistribution, retransmission, publication or commercial exploitation of downloaded material without the express permission of Comoto or the copyright owner is permitted.
All words and symbols designated by ® or ™ and used on or in connection with our products, marketing materials, RevZilla, ZillaCash, or our website (collectively the “Marks”) are trademarks or registered trademarks of, and are proprietary to, Comoto or other owners that have granted Comoto the right and license to use such Marks. For clarity, there may be instances where trademark symbols are omitted for creative reasons, which does not impact the validity or enforceability of these Marks. You may not display or reproduce the Marks other than with the prior written consent of Comoto, and you may not remove or otherwise modify any trademark notices from any content.
Any copying, distributing, transmitting, posting, linking, deep linking or otherwise modifying any materials associated with the Program or our website without our express written permission is prohibited. Any violation of this section may result in copyright, trademark, service mark or other intellectual property right infringement that may subject you to civil and/or criminal penalties. Comoto further reserves the right to terminate your participation in the Program and your use of our websites if you infringe our or any other person’s intellectual property rights.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER COMOTO NOR ANY OF ITS EMPLOYEES, AGENTS, PARTNERS, SERVICE PROVIDERS, CONTENT PROVIDERS OR LICENSORS, OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES HOWEVER CAUSED, WHETHER FOR BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING OUT OF THE PROGRAM, PARTICIPATION OR INABILITY TO PARTICIPATE IN THE PROGRAM, USE OF OR INABILITY TO USE ANY OF THE BENEFITS ASSOCIATED WITH THE PROGRAM, YOUR OR OUR OBLIGATIONS UNDER THE PROGRAM, THESE TERMS AND CONDITIONS, OR OUR PRIVACY POLICY, EVEN IF COMOTO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond our reasonable control.
IN NO EVENT SHALL COMOTO’S TOTAL LIABILITY EXCEED, IN THE AGGREGATE FOR ALL CLAIMS ARISING UNDER OR RELATED TO THE PROGRAM, AN AMOUNT THAT IS THE GREATER OF TWO HUNDRED AND FIFTY DOLLARS (USD $250.00) OR THE AMOUNT OF ZILLACASH THAT YOU HAVE EARNED IN THE LAST YEAR.
YOU ACKNOWLEDGE THAT COMOTO WOULD NOT PROVIDE THE PROGRAM OR THE BENEFITS ASSOCIATED WITH THE PROGRAM IF NOT FOR THE FOREGOING LIMITATIONS, AND THAT THESE LIMITATIONS OF LIABILITY ARE ESSENTIAL ELEMENTS OF THE TERMS AND CONDITIONS. THESE LIMITATIONS OF LIABILITY REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES. THE LIMITATIONS SPECIFIED IN THIS SECTION WILL SURVIVE AND APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THE TERMS AND CONDITIONS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Because some jurisdictions do not allow A limitation or exclusion of liability IN ALL CIRCUMSTANCES, in those jurisdictions, COMOTO’s liability shall be limited to the extent permitted by law.

Indemnification
You agree to indemnify, defend, and hold harmless Comoto, its parents and affiliates, together with their respective employees, agents, directors, officers, suppliers, and shareholders from and against any and all claims, demands, actions, costs, liabilities, losses of any kind (including attorneys’ fees) arising out of your participation in the Program, use of Comoto’s websites, your breach or alleged breach of these Terms and Conditions, or your breach or alleged breach of the copyright, trademark, proprietary, or other rights of Comoto or third parties.

Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE YOUR CLAIM HEARD BY A JURY.

Agreement to Mediation and Arbitration
Any and all disputes, claims, and causes of action between you and Comoto, including those arising out of or connected with ZillaCash, any benefits associated with ZillaCash, these Terms and Conditions, or our Privacy Policy that cannot be settled through informal discussions shall be first submitted to mediation administered by the American Arbitration Association (“AAA”) under its Commercial Mediation Procedures before resorting to binding arbitration. Any dispute, claim, or cause of action that is not resolved by mediation shall be settled by binding arbitration administered by the AAA in accordance with its Commercial Arbitration Rules. Payment of all filing, administration and arbitrator fees will be governed by the AAA's applicable rules, and we will reimburse those fees if your claims at issue seek less than $10,000. Likewise, we will not seek attorneys’ fees and costs in arbitration. Judgment on any award rendered by the arbitrator may be entered in any state or federal court of competent jurisdiction.

Exclusions from Arbitration
Notwithstanding the above, you or Comoto may choose to pursue a dispute in court and not by arbitration if the dispute qualifies for resolution in small claims court. Comoto may seek injunctive relief, damages, or other appropriate relief in state or federal court if the dispute involves an infringement or threatened infringement of Comoto’s intellectual property rights. Any such dispute brought by you or Comoto in court shall be filed in the state or federal courts located in Philadelphia, Pennsylvania, and you consent and agree to the personal jurisdiction and venue of these courts.

Class Action Waiver
You agree that, to the maximum extent permitted by applicable law, any and all disputes, claims, and causes of action arising out of or connected with Comoto’s websites, these Terms and Conditions, or our Privacy Policy will be resolved on an individual basis, without resort to any form of class action or mass action. This provision shall not be construed as a waiver of your right to seek public injunctive relief as provided under California law to the extent such right may otherwise be available to you.

Time Limitation
You agree to bring any and all claims against Comoto within one year from the date of accrual of a cause of action, and that actions brought after this date will be deemed time-barred.

TRANSFER & ASSIGNMENT
ZillaCash, benefits, and enrollment  are not transferable and may not be sold, gifted or assigned by you. Attempts to transfer your ZillaCash will invalidate it, and you no longer be allowed to participate in the Program. Upon the death of a ZillaCash participant, the participant’s account will be closed and any ZillaCash in the account will be forfeited.
Comoto may assign or transfer its rights and obligations in ZillaCash, or under these Terms and Conditions to any company or person at any time, without restriction, and without prior notice.

No Waiver
No delay or failure by Comoto to enforce any provision in these Terms and Conditions shall constitute a waiver of any of Comoto’s rights. Neither the receipt of any funds by Comoto nor the reliance of any person on our actions shall be deemed to constitute a waiver of any part of these Terms and Conditions. Only a specific, written waiver signed by an authorized representative of Comoto shall have any legal effect.

Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect.

Governing Law
Any disputes arising out of or related to the Program, these Terms and Conditions, and/or your use of our website shall be governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to choice-of-law rules and without regard to conflicts-of-laws principles.

Complete Understanding
These Terms and Conditions, applicable consents to receive Program and/r marketing communications, and the Privacy Policy referenced herein constitute the entire understanding between you and Comoto with respect to the Program. The current version of these Terms and Conditions supersede all other descriptions and communications relating to the Program.
